These Terms of Use, along with the information and policies contained in the Privacy Policy, FAQ, and any other documents referred to herein (collectively, these “Terms”) set out the legal terms and conditions applicable to your (“You” or “Your”) use of our website www.lyricraftstudios.com (the “Site”), any of its subdomains, and any other websites operated by our company or on our behalf and any other services we offer.

This Site is owned and operated by Lyricraft Studios, LLC (“Lyricraft Studios,” “Us,” “Our,” or “We”). You may use this Site only subject to Your acceptance of and compliance with these Terms. If You do not agree with these Terms, You may not use the Site. If You use the Site, or if You order merchandise through the Site, We accept this as Your acknowledgment and acceptance of these Terms.

You acknowledge that Your use of the Site is at Our discretion, and Your license to use the Site may be terminated by Us at any time. We reserve the right, at Our sole discretion, to refuse service, to terminate any user’s account, and to alter or delete any material submitted to the Site through a user’s account.

[INTELLECTUAL PROPERTY RIGHTS]

The Site, its content, and all intellectual property rights therein are owned by Lyricraft Studios, LLC or its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use the Site and its content for your personal, non-commercial use only, unless obtained. [USER ACCOUNTS AND REGISTRATION]

To access certain features of the Site, You may be required to create a user account. When creating an account, You must provide accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for any activities that occur under your account. Lyricraft Studios reserves the right to suspend or terminate your account at any time for any reason, including if we believe you have violated these Terms.

[PURPOSE OF THE SITE]

The purpose of the Site is to allow you to commission an original song (“Song”) from Lyricraft Studios, LLC for your personal use (the “Services”) unless otherwise noted and obtained (“Commercial Use”).

[REFUND POLICY]

Given the custom nature of our services, where each song is created specifically for you, we do not offer refunds. However, we are committed to working closely with you from start to finish to ensure your complete satisfaction.

[CANCELLATION POLICY]

If you wish to cancel your order, you may do so within 24 hours of placing the order. In such cases, a 25% service and processing fee will be deducted from the total amount paid.

[DISPUTE RESOLUTION]

These Terms and the relationship between You and Lyricraft Studios, LLC shall be governed by the laws of the State of New York without regard to its conflict of law provisions. You and Lyricraft Studios, LLC agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Kings, New York.

In the event of any dispute arising out of or relating to these Terms, the parties shall first attempt to resolve the dispute through good-faith negotiations. If the parties are unable to resolve the dispute through negotiation, the dispute shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in New York, New York, and the award of the arbitrator shall be final and binding upon the parties.

[LIMITATION OF LIABILITY]

YOU EXPRESSLY UNDERSTAND AND AGREE THAT LYRICRAFT STUDIOS, LLC SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF LYRICRAFT STUDIOS, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (i) THE USE OR THE INABILITY TO USE THE SITE; (ii) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE SITE; (iii) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (iv) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SITE; OR (v) ANY OTHER MATTER RELATING TO THE SITE.

[TERMINATION AND SUSPENSION]

Lyricraft Studios, LLC may suspend or terminate your access to the Site and/or your user account at any time, for any reason, including if we believe you have violated these Terms. Upon termination, you will no longer be able to access your user account or any content or information associated with it. Lyricraft Studios, LLC reserves the right to maintain copies of information related to you as necessary to comply with legal obligations, resolve disputes, and enforce these Terms.

[SURVIVAL CLAUSE]

The following sections of these Terms will survive the termination or expiration of your use of the Site: Intellectual Property Rights, Limitation of Liability, Dispute Resolution, and Survival Clause.

These Terms constitute the entire agreement between You and Lyricraft Studios, LLC and govern Your use of the Site, superseding any prior agreements between You and Lyricraft Studios, LLC.
